PhotoSecure and DNA Technologies Team Up to Combat Counterfeiting
 
September 11, 2001 - CrossOff announces agreement to Acquire DNA Technologies Inc.

(HALIFAX, CANADA) CrossOff Incorporated (TSE:OFF) announced today that it has signed an agreement with DNA Technologies Inc. of Los Angeles, California to acquire all of the assets of DNA Technologies. This strategic acquisition will result in the creation of a unique solution for combating counterfeiting worldwide, whereby items in the CrossOff Registry would be tagged with the DNA Matrix (TM) for positive identification.

Under the terms contained in the agreement between CrossOff and DNA Technologies, CrossOff will acquire the assets and assume the contracts and liabilities of DNA Technologies in exchange for 5,459,643 common shares of CrossOff and 1,971,750 warrants to acquire additional common shares of CrossOff. The warrants will be exercisable at prices ranging from $0.78 to $3.14 per common share. The transaction, which is scheduled to close on or about September 30, 2001, remains subject to completion of due diligence, regulatory approval and approval by shareholders of DNA Technologies. CrossOff will currently advance U.S.$100,000 to DNA Technologies for payment of DNA Technologies trade payables, which would otherwise be assumed by CrossOff on closing of the transaction. The loan is secured by a security interest over all of the assets of DNA Technologies.

The deal will result in CrossOff acquiring DNA Technologies' network of product licensees, existing customers and revenues, New York and Los Angeles locations, and DNA Technologies' patents related to labeling techniques for countering product diversion and counterfeiting. Sales and business development will operate out of multiple locations in Canada and the United States. CrossOff will continue to lead administrative and marketing functions from its Canadian head office, and will move the on-going R&D efforts and lab work for DNA Technologies to Halifax.

DNA Technologies possesses a unique proprietary anti-counterfeiting solution, a synthetic DNA-based tracking technology, which uses DNA-laced ink to tag and protect valuable products, brands and intellectual property. The patented technology combines identifiable DNA (deoxyribonucleicacid) gene segments and an ink (a "DNA Matrix (TM) ") that may be applied as either a visible or covert security marker on any tangible surface. The marker is virtually impossible to decode. DNA Technologies has a portfolio of products used to protect the fine art, designer clothing, sports, entertainment, and licensed products industries. Based upon existing contracts, DNA Technologies expects revenues for the year ended December 31, 2001 of approximately U.S.$620,000 and are forecasting revenues of U.S.$1.4 million for fiscal year 2002.
